David Smalstig is a Senior Managing Director at FTI Consulting and is based in Chicago. He leads the U.S. Transaction Services practice and is also a member of the firm’s Automotive and Merger Integration practices within the Corporate Finance & Restructuring segment.
Mr. Smalstig’s corporate finance transaction expertise includes buy-side/sell-side due diligence, merger integration, synergy analysis, industry roll-ups, structuring, expert witness, post-acquisition disputes, interim management, system conversions, change management, transaction service agreements, IT assessments, fraudulent investigations and consolidations.
Mr. Smalstig’s experience covers a wide variety of industries, including industrial manufacturing; engineering; professional service firms; automotive; logistics and transportation; railroad; energy and utility; food; pharmaceuticals and medical equipment; high tech and telecommunications; media; plastics; construction; banking, including investment banking and brokerage firms and consumer packaged goods. Mr. Smalstig has been involved in more than 500 transactions. He provides analyses of historical and projected cash flows and operating results, profitability analysis of source of revenue, review and development of business plans, integration planning, post-transition management, negotiations with parties-in-interest and management of overall administrative functions.
Mr. Smalstig has advised various private equity funds, including Arsenal, Bain Capital, Cerberus, Code Hennessy & Simmons, Goldman Sachs, Gores, Industrial Opportunity Partners, One Equity Partners, Platinum Equity, Silver Point, Sterling Capital Partners, Thoma Bravo, Willis Stein & Partners, Wind Point Partners and Wynnchurch Capital. He has also provided advisory services for acquisitive strategic investors including Barnes Group, Brunswick, Chrysler, Delphi, Ford Motor Company, General Motors, Fortune Brands, Koch Industries, Parsons and URS.
Prior to joining FTI Consulting, Mr. Smalstig was a Director in the Transaction Services group at PricewaterhouseCoopers, and a Senior Manager in the Merger & Acquisition group at Ernst & Young. He also served as Divisional Chief of Staff and Controller, overseeing the Americas region for Dames & Moore / URS (NYSE). In this capacity, Mr. Smalstig was responsible for acquisitions, accounting, human resources, information technology, risk management and legal affairs, real estate and acquisitions.
Mr. Smalstig holds a B.S. in Business Administration from Bloomsburg University of Pennsylvania, and has completed graduate studies at the Manchester Business School in the United Kingdom and the University of Virginia, Darden School of Business. He is Certified Public Accountant in Illinois and Pennsylvania. Mr. Smalstig is a member of the American Institute of Certified Public Accountants, Association for Corporate Growth, Association of Insolvency & Restructuring Advisors, Illinois Certified Public Accountants Society and the Turnaround Management Association.
